These Terms and Conditions (“Terms”) govern the use of the website www.keel.delivery and all services provided by Oleg Anufriiev, operating as a self-employed worker (Autónomo) in Spain.
By accessing the Website, placing an order, requesting delivery, or using any Keel Delivery service, the client agrees to these Terms.

Keel Delivery operates as a ship supply, onboard delivery, and crew coordination service for vessels calling at Valencia, Spain.

Keel Delivery provides services to vessels, crew, agents, operators, owners, and authorized representatives in accordance with applicable Spanish law, port regulations, customs rules, tax rules, and safety requirements.

2. Scope of Services

Keel Delivery provides the following services:

  1. Vessel supply and crew welfare supply requests
  2. Procurement and delivery of goods requested for use onboard vessels
  3. Personal retail purchases for crew members, where legally permitted and delivered outside restricted port or onboard supply activity
  4. Coordination and concierge services for crews ashore

Keel Delivery acts as a supplier, delivery coordinator, and service coordinator depending on the nature of the order.

Keel Delivery does not operate as a travel agency.

3. Important Distinction: Vessel Supply vs Personal Retail Purchase

Keel Delivery distinguishes between two different types of orders.

3.1 Vessel Supply / Crew Welfare Orders

A vessel supply or crew welfare order is an order requested for onboard use, crew welfare, vessel operation, or consumption onboard a vessel.
Such orders may be initiated by a crew member, but delivery to the vessel or within port areas may require confirmation, approval, or acceptance by the vessel, master, agent, operator, owner, or another authorized representative.

For these orders, Keel Delivery may request additional information, including vessel name, IMO number, flag, berth, terminal, agent details, authorized vessel contact, delivery instructions, or supporting documentation.

A crew member may submit a request, but Keel Delivery reserves the right to treat the order as a vessel supply request and to require vessel, master, agent, operator, owner, or authorized representative confirmation before delivery.

3.2 Personal Retail Purchases by Crew Members

Personal purchases made by individual crew members as private consumers are treated as ordinary B2C retail purchases. Goods intended for personal use by individual crew members as private consumers are generally subject to standard Spanish VAT Delivery to or near a vessel, the customer’s status as a seafarer, or the fact that goods may be used onboard does not automatically determine VAT exemption or vessel supply treatment.

Personal retail purchases by individual crew members are not treated as vessel supply unless the order is confirmed, accepted, or documented as a vessel supply / crew welfare supply order by the vessel, master, agent, operator, owner, or other authorized representative.

Where an order constitutes a personal retail purchase by an individual crew member, Keel Delivery may deliver the goods outside restricted port areas, at an agreed meeting point, port gate, hotel, public location, or another legally permitted place.

Keel Delivery does not conduct retail sale, street vending, spontaneous onboard sales, product display, solicitation, or direct retail sales to individual crew members within port areas or onboard vessels.

4. Products & Availability

All products are subject to availability. Packaging, colour, appearance, model suffix, accessories, plug type, language version, or presentation may vary depending on supplier stock.

Prices shown online are indicative and may vary depending on supplier pricing, stock, availability, exchange rates, delivery costs, or procurement conditions. The final price is confirmed before procurement and delivery.

Keel Delivery may cancel or refuse an order if the product is unavailable, the price changes materially, the supplier cancels the order, or delivery cannot be legally or operationally performed.

All products supplied by Keel Delivery are original and authentic, sourced from authorized distributors, legal suppliers, official retailers, or legitimate commercial channels. Keel Delivery does not knowingly supply imitation or counterfeit goods.

5. Orders

Orders may be placed via:

  1. Website: www.keel.delivery

  3. Messaging platforms, including WhatsApp or Telegram
  4. Other agreed communication channels

Each order may require, depending on the case:

  1. Customer name and contact details
  2. Vessel name
  3. IMO number
  4. Port, terminal, berth, or meeting point if known
  5. Contact person onboard
  6. Rank or position of the requester
  7. Delivery instructions
  8. Any information required for payment, invoicing, VAT treatment, customs, port access, or legal compliance

By placing an order, the customer confirms that the request is made in advance and that all information provided is accurate, complete, and not misleading.

Keel Delivery may request additional confirmation from the vessel, master, agent, operator, owner, or authorized representative before accepting, procuring, or delivering an order.

Keel Delivery reserves the right to refuse, suspend, or cancel an order where the order may conflict with port rules, customs rules, tax rules, safety requirements, supplier conditions, consumer protection law, or any other applicable regulation.

6. Pre-arranged Order Model

All deliveries are performed under a pre-arranged order model. Delivery to a vessel, port gate, terminal, or meeting point is the execution of a previously placed order.

Keel Delivery does not carry out retail sale, product display, solicitation, street vending, spontaneous sales, or onboard retail activity within port areas or onboard vessels.

Keel Delivery may carry only goods corresponding to confirmed orders and does not operate a mobile shop, onboard shop, van shop, or cash-and-carry retail activity inside the port area.

7. No Onboard Retail

Keel Delivery does not operate an onboard retail shop, mobile shop, van shop, cash-and-carry shop, or spontaneous sales activity within the port area or onboard vessels.

Any delivery to a vessel is treated as the execution of a pre-arranged order and, where applicable, as vessel supply or crew welfare supply subject to the required approvals, customs procedures, tax treatment, and documentation.

Retail sale to individual crew members within the port area or onboard vessels is not part of Keel Delivery’s service model.

Keel Delivery does not display products onboard, solicit purchases onboard, or sell additional goods during delivery unless such goods are part of a previously confirmed order.

8. Pricing & Payments

All prices are shown in EUR (€). USD ($) may also be accepted where agreed. If payment is made in USD, the applicable exchange rate and EUR equivalent may be determined at the time of payment. Payment must normally be completed before procurement of goods. Where applicable, payment may be authorized in advance and the final charge will reflect the confirmed price agreed before purchase.

Payment methods may include:

  1. Online card payment
  2. Payment link
  3. Bank transfer
  4. Cash upon delivery, only if agreed in advance and within applicable legal limits
  5. Card payment upon delivery, where available

Keel Delivery may refuse cash payment where identification, declaration, legal limit, compliance, or operational requirements are not satisfied. Cash payments are generally limited to €1,000 where one party acts as a business or professional. For private individuals who can prove that they do not have tax residence or fiscal domicile in Spain and are not acting as a business or professional, the legal cash payment limit may be increased to €10,000, subject to identification and declaration requirements.

For high-value cash payments, Keel Delivery may require:

  1. Passport, seaman book, or other identification document
  2. Full customer name and nationality
  3. Confirmation that the customer is acting as a private individual
  4. Declaration that the customer does not have tax residence or fiscal domicile in Spain
  5. EUR equivalent of any foreign currency payment

Artificial splitting of payments to avoid legal cash limits is not permitted.

9. VAT (IVA) Treatment

VAT treatment depends on the nature of the transaction, the identity of the purchaser, the use of the goods, the place and method of delivery, and the documentation provided.

The client is responsible for providing accurate and complete information necessary to determine the applicable VAT treatment.

9.1 Personal Crew Purchases

Goods intended for personal use by individual crew members as private consumers are generally subject to standard Spanish VAT.

Delivery to or near a vessel, the customer’s status as a seafarer, or the fact that goods may be used onboard does not automatically determine VAT exemption or vessel supply treatment.

Personal retail purchases by individual crew members are not treated as vessel supply unless the order is confirmed, accepted, or documented as a vessel supply / crew welfare supply order by the vessel, master, agent, operator, owner, or other authorized representative.

If the required confirmation or documentation is not provided, Keel Delivery may treat the transaction as a personal retail purchase and apply Spanish VAT where required.

9.2 Vessel Supply — Possible VAT Exemption

Certain vessel supply transactions may qualify for VAT exemption under the applicable provisions of Spanish VAT law, including Article 22 of Ley 37/1992, where all legal requirements are met.

VAT exemption may apply only where, among other requirements:

  1. The purchaser is the vessel operator, owner, agent, or authorized representative (Captain, Chief Officer, Chief Engineer);
  2. The goods are intended for vessel use, onboard use, crew provisions, or other qualifying purposes;
  3. The vessel is engaged in international maritime navigation, where required by law;
  4. Required documentation is provided;
  5. Customs, export, DUA/MRN, or other formalities are completed where applicable;

Keel Delivery reserves the right to determine the applicable VAT treatment based on the documents and information provided. If the required documentation is not provided or the transaction does not qualify, Spanish VAT will be applied where required.

10. Port Access, Vessel Delivery & Delivery Conditions

Delivery is subject to:

  1. Applicable port regulations
  2. Port access permissions
  3. Terminal rules
  4. Vessel approval
  5. Master, agent, operator, or authorized representative confirmation where required
  6. Customs and fiscal controls where applicable
  7. Security and safety conditions at the time of delivery
  8. Weather, traffic, port operations, and vessel schedule

Keel Delivery may reschedule, refuse, or cancel delivery if port access is denied, vessel schedules change, the vessel sails earlier than expected, customs or security requirements cannot be satisfied, or operational constraints arise.

Each case will be assessed individually in accordance with applicable law and consumer protection rules.

Where delivery inside the port or to the vessel is not legally or operationally possible, Keel Delivery may offer delivery at another legally permitted location.

11. Coordination & Shore Leave Services

11.1 Nature of Service

Keel Delivery provides coordination services and is not a travel agency.

11.2 Transport

  1. Transport is arranged via licensed providers
  2. Liability rests with the provider
  3. Keel Delivery is not responsible for transport failures

11.3 Disbursements

Where Keel Delivery uses licensed third-party providers, tickets, bookings, transport or other services in order to perform the coordination service, such costs are treated as Keel Delivery’s internal operating expenses, unless expressly agreed otherwise in writing.

The client purchases only Keel Delivery’s professional coordination service. Third-party costs are not sold as standalone services and are not itemised as separate travel, transport or ticket sales, except where required by law or expressly agreed with the client.

Keel Delivery may choose the providers necessary to perform the service, including licensed taxi/VTC providers, ticket suppliers, booking platforms or other third parties.

Unless expressly agreed as a disbursement made in the client’s name and on the client’s behalf, any third-party cost remains part of Keel Delivery’s own operating cost structure.

12. Cancellations & Returns

12.1 Cancellations

Orders may be cancelled free of charge before Keel Delivery begins procurement, purchase, reservation, customs preparation, or other order-specific work.

Once goods have been procured, reserved, purchased, prepared, or ordered specifically for the client, cancellation fees may apply.

These may include the cost of goods, supplier cancellation fees, delivery costs, handling costs, payment fees, customs preparation, or other expenses already incurred.

12.2 Returns

Damaged or defective items may be returned, replaced, or handled under the applicable legal warranty rules.

The customer must notify Keel Delivery as soon as possible after discovering any damage, defect, missing item, or non-conformity.

Refunds, where applicable, are issued to the original payment method unless otherwise agreed.

12.3 Right of Withdrawal

Consumers may have the right to withdraw from a distance contract within 14 days without giving any reason, in accordance with applicable consumer protection law. To exercise the right of withdrawal, the customer must contact Keel Delivery by email at info@keel.delivery within the applicable period.

Returned goods must be complete, unused beyond what is necessary to inspect them, and in original condition, including packaging, accessories, manuals, and any included items where applicable.

The right of withdrawal does not apply, among other cases, to:

  1. Goods made to the customer’s specifications or clearly personalised
  2. Goods procured specifically at the customer’s request where legally excluded
  3. Sealed goods not suitable for return for health protection or hygiene reasons once unsealed
  4. Goods which by their nature cannot be returned
  5. Digital goods, software, activation codes, or similar items where applicable and legally excluded
  6. Services already fully performed with the customer’s prior consent where the law permits exclusion

13. Documentation

Keel Delivery may issue the following documents:

  1. Invoice
  2. Receipt
  3. Delivery note / Albarán de entrega
  4. Order confirmation
  5. Payment confirmation
  6. Customs or delivery-related documents where applicable

For vessel-related deliveries, Keel Delivery may record:

  1. Vessel name
  2. IMO number
  3. Flag
  4. Port or berth
  5. Receiving person’s name
  6. Rank or position
  7. Signature
  8. Delivery date and time
  9. Goods delivered

For VAT-exempt or vessel supply transactions, additional documentation may be required, including export declaration, DUA/MRN, vessel status, agent confirmation, or other supporting documents.

Keel Delivery may photograph deliveries strictly for operational, documentary, compliance, and proof-of-delivery purposes. Photographs will not include identifiable personal data unless necessary for the service, legally justified, or explicitly authorized.

14. Customs, Port and Legal Compliance

Certain vessel supply transactions may be subject to customs control, export documentation, port security requirements, fiscal documentation, or presentation of goods and documents to the competent authorities before delivery. Keel Delivery may refuse to deliver goods where the required documentation, authorization, customs procedure, port access, vessel confirmation, or legal requirement is missing.

The customer, vessel, agent, operator, or authorized representative must cooperate in providing the information and documents required for lawful delivery.

Keel Delivery is not responsible for delays, cancellation, refusal of access, customs issues, or failed delivery caused by missing, incorrect, incomplete, delayed, or misleading information provided by the client, vessel, agent, operator, or third parties.

15. Product Use, Restrictions and Prohibited Goods

The customer is responsible for ensuring that ordered products are suitable for their intended use and permitted onboard the relevant vessel.

Keel Delivery may refuse to supply goods that are prohibited, restricted, unsafe, illegal, unsuitable for onboard use, restricted by port rules, restricted by vessel rules, restricted by customs, or otherwise inappropriate.

Certain products may be unavailable for delivery due to safety, customs, flammability, battery, food, hygiene, medicine, alcohol, tobacco, export control, or other restrictions.

Keel Delivery may request additional confirmation before supplying items such as lithium battery products, aerosols, liquids, perfumes, tools, electrical equipment, food, supplements, or any item subject to restrictions.

16. External Links

The Website may include links to third-party websites.

Keel Delivery is not responsible for third-party websites, their content, policies, prices, availability, privacy practices, accuracy, or services.

The inclusion of any link does not imply endorsement.

17. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law.

Subject to the above, Keel Delivery is not liable for:

  1. Denied access to port, terminal, berth, or vessel
  2. Vessel schedule changes or early departure
  3. Port authority restrictions
  4. Terminal access decisions
  5. Customs, police, security, or authority decisions
  6. Temporary unavailability of products
  7. Supplier price changes
  8. Minor differences between product descriptions and actual items
  9. Delays caused by port operations, traffic, weather, vessel instructions, customs checks, or third-party providers
  10. Losses caused by incorrect or incomplete information provided by the customer
  11. Third-party service failures outside Keel Delivery’s reasonable control

Keel Delivery’s services are provided with reasonable care and skill, but operational realities of maritime, port, customs, supplier, and vessel schedules may affect delivery timing and availability.

18. Data Protection

Personal data is processed in accordance with our Privacy Policy, EU Regulation 2016/679 (GDPR), and Spanish Organic Law 3/2018 (LOPDGDD).

Keel Delivery may process personal data for:

  1. Order processing
  2. Payment and invoicing
  3. Delivery coordination
  4. Vessel or port access coordination
  5. Communication with the customer
  6. Legal, tax, accounting, customs, and compliance obligations
  7. Proof of delivery
  8. Fraud prevention and dispute handling

By placing an order via WhatsApp, Telegram, email, or other messaging platforms, the customer agrees that Keel Delivery may use those communication channels for order-related communication.

19. Governing Law & Jurisdiction

These Terms are governed by Spanish law.

For consumers, disputes shall be subject to the courts and jurisdiction determined by applicable consumer protection law.

For business clients, professional clients, vessel operators, agents, owners, or other B2B clients, disputes shall be subject to the courts of Valencia, Spain, unless mandatory law provides otherwise.
